Chapter 5: My Mother-in-Law's Secret Company

The next morning, James Harrison arrived at my father's house before nine.

He carried a thick envelope from the bank and a printed copy of a corporate filing that had been submitted six weeks earlier.

“Sarah,” he said, setting the documents on the desk, “we've learned something important about MV Strategic Properties.””

I sat opposite him.

“Tell me.””

“Margaret and Vanessa are listed as its owners. Daniel is listed as an authorized representative. But the company was formed shortly after your mother-in-law approached a private lender about purchasing commercial real estate.””

“Why would she need a private lender if the bank already gave them six hundred and fifty thousand dollars?””

“Because the bank loan wasn't intended to cover the entire purchase.””

He opened the envelope.

Inside was a financial projection showing that MV Strategic Properties planned to acquire the building for $1.2 million, using the loan proceeds as part of the purchase funding.

The plan depended on the building being transferred into the new company's name.

Once the transfer occurred, the company intended to refinance the property at a much higher valuation.

I read the figures twice.

“They wanted to buy a building worth several million dollars for $1.2 million?””

“That appears to have been the proposed transaction,” James replied.

“But the actual value and any valid purchase terms would need independent verification. The important point is that the transaction relied on an authorization you say you never gave.””

My father stood behind me, reading over my shoulder.

“They were planning to use the property's value to generate more money after acquiring it.””

“Yes,” James said.

“And if the documents were knowingly falsified, that could have serious consequences.””

I stared at the projected returns.

“Did Daniel know about the plan?””

James placed another document on the desk.

“This is the authorization the bank mentioned yesterday. Daniel's signature appears at the bottom. The document states that he was permitted to coordinate the transaction on behalf of MV Strategic Properties.””

“And who gave him that permission?””

“Margaret.””

I shook my head.

“This makes no sense. Daniel already runs the family business. Why would he help his mother take over the building?””

“Because the company would have owned the property after the purchase,” James explained.

“That could have given the family more control over its operating expenses and future financing. However, we still need to establish what Daniel believed about the documents and whether he knew your signature was being used without permission.””

My father pulled out a chair.

“Did the bank provide any information about where the money went?””

James opened his laptop.

“Some. The funds were deposited into MV Strategic Properties' account. From there, the bank identified a transfer of one hundred and eighty thousand dollars to a separate account associated with Margaret.””

My stomach tightened.

“What was that money for?””

“We don't know yet. The bank is reviewing the transaction records.””

“And the rest?””

“Some remains in the company's account, according to the preliminary information we received. Other transactions are still being examined.””

I leaned back.

It was worse than I had imagined.

They hadn't simply borrowed money carelessly. They had created an entire company, prepared a property acquisition plan, and apparently used documents that neither my father nor I had authorized.

But there was something else I couldn't understand.

“Why did Vanessa need to be involved?””

James tapped the corporate registration.

“She's listed as a co-owner. That may have been intended to divide control or provide a separate financial interest. We need the company's formation documents and internal communications to know more.””

My father looked at me.

“Sarah, there's another question we need to ask.””

I knew what he meant.

Why had Daniel stayed silent at Christmas dinner?

Had he been protecting Vanessa because he loved his sister? Had he been protecting his mother because she controlled him? Or had he been afraid that I would discover the financial scheme if I started asking questions?

Before I could answer, my phone buzzed.

A message from Margaret appeared.

We need to settle this privately before your father ruins everyone's lives. Come to my house at noon. Alone.

I showed it to James.

He shook his head.

“Don't attend a private meeting about a disputed financial transaction without legal guidance. If you decide to communicate with her, keep it documented.””

My father crossed his arms.

“She's not going anywhere alone.””

“I wasn't planning to,” I said.

I typed a response.

Any discussion about the property or the loan can take place through James Harrison. I will not discuss the matter privately.

Margaret replied almost immediately.

So now you're sending lawyers after your husband's family? Your father has poisoned you against us.

Then another message arrived.

Remember who welcomed you into this family.

I stared at the screen.

Welcomed me?

I remembered the first Christmas I had spent with Daniel's family. Vanessa had asked whether my dress came from a discount store. Margaret had joked that Daniel had married into money but somehow ended up with a wife who didn't know how to host a proper dinner.

I had laughed along because I wanted them to like me.

When my father invested in Daniel's company, their attitude changed. Suddenly, Margaret called me her favorite daughter-in-law. Vanessa began inviting me to expensive lunches. Daniel told me his family was finally accepting me.

But now I wondered whether they had ever been accepting me at all.

Or whether they had simply become more careful around the person whose family held the keys to their financial security.

At noon, Margaret called.

I answered with James sitting beside me.

“Sarah, I don't know what you've told your father, but this is getting out of hand.””

“What exactly do you think I've told him?””

“That you've accused us of stealing your property!””

“I haven't accused anyone. The documents speak for themselves.””

“You're misunderstanding the situation.””

“Then explain it.””

Margaret sighed dramatically.

“Your father has always made Daniel feel inferior. He gave him money, but he never let him forget who had the power. We wanted to build something of our own.””

“You wanted to buy his building with money borrowed against that same building.””

“That was a business strategy.””

“Using my signature without my permission?””

“I don't know anything about your signature.””

“Then why is your son listed as your authorized representative?””

She went quiet.

I continued.

“Why did the bank receive a personal guarantee supposedly signed by my father?””

“I never asked Richard to sign anything.””

“That's not what I asked.””

Her voice sharpened.

“Sarah, you have no idea how difficult it has been living under your father's shadow. Every time Daniel tried to make a decision, Richard had the final word. We wanted independence.””

“Then you should have bought your own property with your own money.””

“We were going to pay for it!””

“With money you borrowed using property you didn't own?””

“Your father was going to sell eventually!””

“He never agreed to sell.””

Margaret's breathing became uneven.

Then she said something that changed the direction of the entire conversation.

“Your father doesn't know what he agreed to five years ago.””

I sat motionless.

“What does that mean?””

“He signed an agreement giving Daniel's family an opportunity to purchase the building under certain conditions.””

James immediately held out his hand for the phone.

I put it on speaker.

“Margaret,” he said calmly, “this is James Harrison. If you are referring to a contractual purchase option, please identify the provision and the document you believe establishes it.””

She hesitated.

“I'm not discussing legal details with you.””

“Then please direct any relevant documents to my office.””

“I know what I read.””

“Which document?””

“I don't have it in front of me.””

James looked at me.

“Thank you, Margaret. We'll review the original agreements to determine whether any such option exists.””

She hung up.

I stared at the phone.

“Could she be telling the truth?””

James opened the original investment folder.

“Let's find out.””

For nearly an hour, he reviewed the agreements. He checked the lease, the investment contract, the property deed, and the shareholder documents.

Finally, he placed a single page in front of me.

“There is a provision allowing Bennett Industrial Supply to negotiate a purchase under certain circumstances. But it does not guarantee a sale, establish a fixed price, or permit the company to use the building as collateral before ownership transfers.””

“So she took one paragraph and turned it into permission to do whatever she wanted.””

“That's one possibility. But we'll need to see what she relied on when she made those representations.””

My father tapped the desk.

“And if the lease contains no automatic purchase right, then the building remains ours unless a valid sale is completed.””

“Correct.””

I let out a slow breath.

For the first time, I understood why Margaret had been so confident.

She had taken a limited opportunity to negotiate and treated it as a promise of ownership.

But that still didn't explain the forged signatures.

James closed the folder.

“We need to obtain the full corporate records and preserve all communications. The bank will conduct its own investigation, and we should avoid interfering with that process.””

My phone vibrated.

A new message had arrived from Daniel.

My mother is lying about one thing. I never wanted to take your father's building.

I stared at it.

Then another message appeared.

But I know who prepared the documents.

My fingers began to tremble.

I typed back.

Who?

May you like

The answer came ten seconds later.

Someone you've trusted for years.
